Valor Latitude Acquisition Corp (NASDAQ: VLATU, NASDAQ: VLAT, and NASDAQ: VLATW) is a publicly-traded special purpose acquisition company (“SPAC”) whose primary business purpose is to effect a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to in our S1 filing. While we may pursue an acquisition opportunity in any business, industry, sector or geographical location, we intend to focus our search for an initial business combination on technology-enabled Latin American companies seeking to become category-defining enterprises and with interest or expected to pursue cross-border expansion.

A number of sectors, ranging from financial services, health & wellness, education, e-commerce and logistics are undergoing rapid, technology-led disruption and consolidation. Many of the trends driving disruption in Brazil and Latin America have been witnessed in the US. Clifford Sobel

Clifford Sobel is the Managing Partner of Valor Capital Group, a growth equity and venture capital investment firm focused on United States and Brazil cross border opportunities. He is also a partner in Related Brazil, a mixed use developer with projects in Brazil. Previously, Sobel served as the United States ambassador to the Netherlands and to Brazil, under both the Bush and Obama administrations. He has recently served on the Secretary of State’s Foreign Affairs Policy Board (FAPB), the Advisory Board for SOUTHCOM, the Military Commander for Central and South America, and was recently the Vice Chairman of the bi-partisan Federal Commission on Drug Policy for the Western Hemisphere. He has also served on the President’s Intelligence Advisory Board (PIAB). Today he also serves on the Board of the Council of the Americas, Council of American Ambassadors and Christie’s Advisory Board for the Americas. He is also a member of the Council of Foreign Relations (CFR). He also served as a board member of Diamond Offshore Drilling (NYSE-DO), Aegon (NYSE – AEG) and Alpinvest, a fund of funds group based in Amsterdam. He was President and then Chairman of Net2Phone (NASDAQ-NTOP), a pioneer internet telephony company that was acquired by AT&T.

 
Helio Lima Magalhães

Helio Lima Magalhães, will serve as one of our directors following the completion of this offering. From 2012 to 2017, Magalhães was Chief Executive Officer of Citibank Brazil, a commercial bank. From 2010 to 2012, Magalhães served as President of The Americas Global Network Services (GNS) at American Express, a multinational financial services corporation. Magalhães has served as the chairman of the board of directors of Banco do Brasil S.A. from 2019 to 2021 and as chairman of the board of UBS BB Investment Bank since 2020, and has also served on the board of directors of Companhia Melhoramentos São Paulo S.A. since 2019 and Suzano S.A. since 2020. Magalhães previously served as a board member of Eletropaulo Metropolitana (2018-2019), the Fundo Garantidor de Créditos (Brazilian FDIC) (2018), IRB Brasil RE (2017-2019), VR Investments (2017-2018), Elavon do Brasil (2012-2016), and the Brazilian Federation of Banks – Febraban (2012-2017), among other companies. Magalhães has a Bachelor of Science degree in Electrical Engineering and Computer Science from George Washington University (1976) and a Post-graduation in Computer Science from the Pontifícia Universidade Católica do Rio de Janeiro - PUC-Rio (1982).

 
Scott Sobel

Scott Sobel Co-founder & Managing Partner of Valor Capital Group, was part of the founding team of the pioneering internet telephony company Net2Phone; Scott helped transform the company from a being the first software to bridge the PC and the Public Switch Telephony Network to acquiring millions of users, generating over $200 million in revenue, going public in IPO (1999) and its eventual sale AT&T for $1.4 billion (2000). Scott went on to hold executive positions in Symbol Technologies, working with the Mobile Computing and Wireless Divisions and NCR Corporation, based in Singapore responsible for Corporate Development and later as the Vice President of its Emerging Markets business. Scott is on the Board of Directors of the National Mentoring Partnership which is a non-profit advocate and resource for mentoring in the US. Scott holds a Bachelor of Science degree from Syracuse University.

 
Doug Smith

Doug SmithDirector and CFO/EVP of Valor Capital Group, has brought considerable financial and investment experience to the Valor team since inception, which has been highly valuable in the form of fiscal advice and valuable business connections in his role as CFO of Valor Capital and a member of the investment committee of each of the Valor venture funds. Doug is also a Managing Director at Wesray Social Investments, where he is a member of the Investment Committee and oversees private investments for its affiliates and family office. Doug has participated in the acquisition, financing, monitoring, and exits of numerous Wesray portfolio companies from venture capital to private equity and real estate. Doug was previously an Advisor to and assisted with the launch of the Collaborative Fund, a seed venture firm. Mr Smith has served at the board of several companies for Valor affiliates as well as other private companies including Artegraft, Inc.
He also sits on the Investment Committee of two private Foundations and until recently was on the Board of Governors at the St. Joseph’s High School Foundation. Doug is involved in several local charities and community organizations. Doug holds a Bachelors of Arts degree from the College of the Holy Cross.

 
Linda Rottenberg

Linda Rottenberg, will serve as one of our directors following the completion of this offering. Ms. Rottenberg has served as Co-Founder and Chief Executive Officer of Endeavor Global, Inc., leader of the global high-impact entrepreneurship movement, since 1997. She also serves as President of Endeavor Catalyst LP Funds, which had over $250 million of assets under management as of February 2021 and co-invests in Endeavor Entrepreneurs raising outside capital. Ms. Rottenberg serves on the board of Globant SA, a software developer; Olo, a digital food-ordering SaaS platform; and RTPZ, a SPAC founded by LinkedIn founder Reid Hoffman and Zynga founder Mark Pincus. She previously served as board director of Zayo Group, a leading bandwidth infrastructure company. A graduate of Harvard College and Yale Law School, Ms. Rottenberg has been named among TIME’s “Innovators for the 21st century’ and U.S. News and World Report’s “America’s Best Leaders”. In 2018, she received the Heinz Award in Technology, the Economy and Employment. Ms. Rottenberg was selected to serve on our board of directors due to her knowledge and experience in the technology industry, her expertise in emerging and growth markets, and experience serving as director of other companies.

 
Barry Engle

Barry Engle, will serve as one of our directors following the completion of this offering. Engle is the founder and CEO of Qell Acquisition Corp. (NASDAQ: QELL), a publicly-traded special purpose acquisition company launched in October 2020, focused on opportunities in next generation mobility, transportation and sustainable industrial technologies. Engle’s career has included operational, financial and managerial roles within the international automotive sector, as well as growth-oriented companies across various industries. Engle spent five years in senior executive roles at General Motors Company (“GM”). From April 2019 through August 2020, Engle served as President of GM North America, which is GM’s largest segment with $100+ billion in 2019 revenue. Under his leadership, GM frequently beat Wall Street research analysts’ consensus operating income expectations, including during the unprecedented COVID-19 pandemic. During his tenure, GM also achieved significant retail market share gains in the important full-size pickup segment. In addition to his responsibilities for GM North America, Engle was Global Head of Chevrolet and served on the board of GM’s China joint venture. Before this, Engle served as the President of GM International, where he significantly restructured its Asian operations, including driving a rapid turnaround in its Korean business by working with unions, the government and suppliers. Engle joined GM in September 2015 as President of GM South America, leading the business unit through the region’s economic recession and achieving market leadership in Brazil, the region’s largest market, for 50+ consecutive months while reorganizing the business to improve its profitability. Prior to joining GM, Engle spent time leading high growth, private equity and venture capital backed companies, serving as Chief Executive Officer of Agility Fuel Solutions and of European electric vehicle manufacturer Think EV. Before joining Think EV, Engle spent two years as President and CEO of New Holland Agricultural Equipment in Turin, Italy. Engle also spent a number of years with Ford Motor Company where he served as President & CEO of Ford Canada, President of Ford Brazil, and led U.S. Marketing for the Ford brand. During his early career with Ford, Engle also spent time living and working in Mexico and Japan, where he was responsible for Mazda’s global brand strategy. Finally, Engle has previously led an entrepreneurial endeavor of his own. During the period 1997-2000, he sourced and executed an acquisition, purchasing and operating a retail automotive dealership in the Salt Lake City metro area, Barry Engle Chrysler-Plymouth-Jeep. Engle holds a BA in Economics, with a minor in Spanish, from Brigham Young University as well as an MBA from The Wharton School at the University of Pennsylvania. Engle has also served on the National Advisory Council for the Marriott School of Business at Brigham Young University since 2006.

 
Mario Mello

Mario Mello is a Board Member and Operating Partner at Valor Capital Group. Mario Mello has over 30 years of experience in the financial services and technology industries. Prior to joining Valor, Mario Mello served as General Manager and General Director for PayPal Latin America for five years. In addition, he has served as Executive Vice President at Visa Latin America, Statutory Director of Banco Real (acquired by Santander) and also a member of the Board of Directors of Cielo, CBSS and Fidelity Systems. Mario Mello is currently a Board Member of Developer company Tenda and Founder and President of Civic Nonprofit Start Up – O Poder do Voto. Mario Mello received a BSE in Civil Engineering from the Polytechnic School at the University of São Paulo.

 
Brian Brooks

Brian Brooks will serve as one of our directors following the completion of this offering. Brooks is a globally recognized leader in financial technology and financial services. He is currently serving as the CEO of Binance USA. He most recently served as Acting U.S. Comptroller of the Currency, where he was the administrator of the federal banking system and the chief executive of the 3,500-employee federal agency responsible for chartering and supervising banks comprising 70 percent of all banking activity in the United States. Brooks was often referred to as the “first fintech Comptroller” and “CryptoComptroller” for his focus on financial innovation. Recognized by Crunchbase as one of the top 10 influencers globally, Brooks was called “the most transformative Comptroller in recent history” (Consumer Bankers Association), a “forward-looking visionary” (CoinDesk), and “one of the most creative thinkers ever to lead a regulatory agency” (LendIt Academy). Brooks’s background before leading the Office of the Comptroller of the Currency included serving as Chief Legal Officer of Coinbase, the largest digital asset exchange in the United States; executive vice president, general counsel, and corporate secretary of Fannie Mae, the $3.2 trillion housing finance giant; vice chairman of OneWest Bank, a regional bank based in Southern California; and Washington, D.C. managing partner of global law firm O’Melveny & Myers LLP. Brooks’s board experience includes service on the boards of directors of Fannie Mae; Avant, Inc., a major marketplace lending platform; and Spring Labs, a blockchain-enabled digital credit bureau; and numerous nonprofit boards. He has also been an advisor to and/or early stage investor in EarnUp, TextIQ, LoanSnap, and other technology companies. He holds an A.B. cum laude from Harvard University and a J.D. with honors from the University of Chicago.
